Tealfeed Private Limited (“Tealfeed”, “us”, “we”, “our”) provides a platform for appointment-based service businesses through its website at tealfeed.ai and its application at app.tealfeed.ai (collectively the “Site”), including public booking pages (“storefronts”), scheduling and availability, client records, tasks, communications, payments, and connected integrations (collectively the “Service(s)”).
Tealfeed requests users (“user”, “you”, “your”) to carefully review these terms and conditions (“Terms of Usage”, “Agreement”, “TOU”, “Terms”), which apply to your access to and use of the Site and Services, and constitute a legally binding agreement between you (personally and/or on behalf of an entity) and Tealfeed.
By clicking consent (e.g., “Continue,” or “Sign-in”) and browsing or accessing the Site to avail our Services, you irrevocably and unconditionally agree to have read and understood, abide by, and be bound by all obligations stipulated in this TOU. If you do not agree to be bound by all or any terms and conditions in this TOU, you are requested to stop using the Site and its Services immediately.
Using the Site
Who can use it
Tealfeed is a business tool. You must be at least eighteen (18) years of age and capable of forming a legally binding contract to create an account or to book a service through a storefront. By using our Services, you represent and warrant that you meet these requirements. Use of the Services by anyone under thirteen (13) years of age is expressly prohibited.
Members and Clients
Members are professionals and businesses who create a Tealfeed account to run their practice: publishing a storefront, offering services, managing availability, taking bookings, and keeping client records. Clients are the people who book a Member through their storefront. Bookings, payments, and the delivery of services are transactions between the Member and the Client; Tealfeed provides the platform that facilitates them and is not a party to that relationship.
User registration
To use the Services as a Member, you create an account with your email address and a password, verified by a code sent to your email. You are entirely responsible for safeguarding and maintaining the confidentiality of your login credentials. Should a login occur using your credentials, it shall be deemed that your account has been accessed by you or a third party to whom you have granted access. Notify us immediately if you suspect any unauthorised use of your account.
Your storefront is published at a username you choose. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that it is inappropriate, misleading, infringing, or otherwise objectionable. Your account cannot be sold or transferred to another person without our prior written consent.
Privacy
Our privacy practices are set forth in our Privacy Policy. By accessing the Site, you are deemed to have agreed to and accepted our Privacy Policy, regardless of whether you are a registered user.
Payments
Payments on the Site are processed by third-party payment processors, never by Tealfeed itself. Card and bank details are collected by the processor directly and never touch Tealfeed’s servers; we receive the transaction outcome and reference only. Which processor handles a given payment depends on the Member’s settings, their country, and the currency:
- Stripe, Razorpay, and Cashfree, where the Member connects their own processor account and receives funds directly from that processor;
- Tealfeed Pay, available for payments in Indian rupees, where the payment is collected on Tealfeed’s platform account through Razorpay Route, held until the booking is honoured, and then transferred to the Member’s linked account net of any applicable fee. Refunds issued before transfer are returned from the held amount; refunds after transfer are recovered from the Member.
Before making a payment you should review the applicable processor’s terms and policies, including its privacy and data practices, as the processor may require your personal information to complete the purchase.
Third-party integrations
Members may optionally connect third-party services to their account, including Google Calendar (to read availability and sync booking events) and Google Meet (to attach video-call links to bookings). Each integration is authorised by you on the third party’s own consent screen, is governed by that third party’s terms and privacy policy in addition to ours, and can be disconnected at any time from Settings · Integrations. Tealfeed’s use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy. We are not responsible for the availability or conduct of third-party services.
Closing your account
You may close your account at any time from account settings. We may terminate or suspend your account if you violate any of our policies (including these Terms) or for any other reason we may deem fit.
Changes to the Site
We may add or change features with or without notice to you as we improve your experience.
User representations
By registering on the Site, you represent, warrant and agree that:
- All registration information you submit will be true, accurate, current, and complete;
- You will maintain the accuracy of such information and promptly update it as necessary;
- You have the legal capacity and you agree to comply with these Terms of Usage;
- You are at least eighteen (18) years of age;
- You are not barred from using the Services or accessing the Site under the laws of India or any applicable jurisdiction;
- You will not use the Site for any illegal or unauthorised purpose;
- Your use of the Site will not violate any applicable law or these Terms of Usage.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Site.
For any third-party personal information you collect and provide to us (for example, the client records you keep on Tealfeed or contact lists you import), you represent and warrant that:
- All such information has been lawfully collected by you, and you have acquired all requisite consent to provide it to us;
- You are not barred from collecting such information under the laws of India or any applicable jurisdiction;
- You have not collected such information for any illegal or unauthorised purpose;
- Our use of such information to provide the Services to you will not infringe any rights of the third party.
User restrictions
Tealfeed strictly restricts use of the Site and Services in any manner inconsistent with our terms and policies, as well as any applicable laws. A summary of such restrictions:
- You may not use the Site for any purpose other than that for which it is available.
- You cannot systematically retrieve data or other content from the Site without our permission.
- You cannot make any unauthorised use of the Site, including usernames or email addresses of other users.
- You cannot post sexual or abusive content, including pornographic material or content that promotes violence or harassment.
- You cannot use the personal information of other users or of any Client for any illegal, unauthorised, or unrelated commercial purpose.
- You cannot circumvent, disable, or interfere with security-related features of the Site.
- You cannot impersonate another user or person, or use the username of another user.
- You cannot harass, annoy, or threaten any of our employees or agents.
- You cannot adapt the Site’s software or delete the copyright or other proprietary rights notice from content.
- You cannot disparage, tarnish, or otherwise harm us or the Site.
- You cannot use the Site in a manner inconsistent with applicable laws or our policies.
Territorial restrictions
The Services are offered globally and are controlled and operated by Tealfeed from its facilities in India. The Services may contain references to features that are not available in your country. Tealfeed makes no representations that the Services are appropriate or available for use in every location. Those who access or use the Services do so at their own volition and are responsible for compliance with applicable local laws.
Acceptable use
You are responsible for all your activity on the Site and the use of Services. You agree that you will not use the Site in a manner that:
- Is fraudulent or threatening;
- Jeopardises the security of your or other users’ accounts;
- Attempts to obtain the password, account, or security information of any other user;
- Violates the security of any computer network, or cracks any passwords or security encryption codes;
- Crawls, scrapes, or spiders any page, data, or portion of the Site;
- Decompiles, reverse engineers, or otherwise attempts to obtain source code or underlying ideas;
- Interferes with or disrupts the access of any user, host, or network, including viruses, overloading, flooding, spamming, scraping, or scripting.
User content on the Services
Contributions
While using the Site, you may create and publish content and materials (collectively “Contributions” or “Content”): your storefront profile, service descriptions, articles, images, and other material you add to your account. Storefront Contributions are public and may be viewed by anyone with the link.
You acknowledge that the creation, distribution, transmission, or public display of your Contributions does not infringe the proprietary rights of a third party, including any copyright, patent, trademark, trade secret, or moral rights.
You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and to authorise us and the Site to use your Contributions in any manner contemplated by the Site and these Terms. You accept full responsibility for avoiding infringement of intellectual property or personal rights of others. You agree to pay all royalties, fees, and any monies owed to any person by reason of your Content.
Your Contributions are not false, inaccurate, misleading, obscene, lewd, filthy or otherwise objectionable. Your Contributions are not unsolicited and unauthorised advertising, promotional materials, spam, mass mailings, or any other form of solicitation. Your Contributions do not violate applicable laws, rules, or regulations, and do not violate the privacy or public rights of any third party. Your Contributions do not contain material that solicits personal information from or exploits anyone under the age of 18.
Ownership
You (or your licensors) retain ownership of the copyright and other intellectual property in your Content, subject to the non-exclusive rights granted below. Any original content you post, upload, share, store, or otherwise provide to Tealfeed remains yours and is protected by copyright and any other applicable intellectual property laws. Your client records remain your business’s data; we process them only to provide the Services, as described in our Privacy Policy.
License and permission to use your Contributions
By submitting, posting, or displaying your Contributions on the Site, you grant Tealfeed a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, copy, reproduce, process, adapt, modify, create derivative works from, publish, transmit, store, display, distribute, translate, and otherwise use your Contributions solely in connection with the operation of the Site and Services and, with your consent, the promotion of the Services. This license ends when your Contributions are deleted from the Site, except where retention is required by law.
We may preserve your Contributions and may disclose them and related information if required to do so by law or in good-faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that your Contributions violate the rights of third parties; (d) detect, prevent, or address fraud, security, or technical issues; or (e) protect the rights, property, or personal safety of Tealfeed, its users, or the public.
Bookings, payments, refunds, and cancellations
Members offer their services and set their prices at their own discretion; Tealfeed takes no part in pricing. A booking is an agreement between the Member and the Client. The Member’s own cancellation and rescheduling policy, shown on their storefront at the time of booking, governs that booking.
- Where a Member cancels a paid session, the Client is entitled to a refund of the fees paid for that session;
- Where a Client cancels or reschedules, the Member’s stated cancellation policy applies, including any notice windows or fees it specifies;
- Refunds, where due, are returned through the original payment method. Processing typically takes 7 to 10 business days.
Tealfeed facilitates scheduling and payment rails but is not a party to the service transaction and has no obligation to resolve disputes between Members and Clients beyond directing inquiries to the appropriate party.
Third-party websites and content
The Site may contain links to other websites as well as content belonging to third parties (“Third-party Content”). Third-party content is not investigated, monitored, or checked for accuracy by us, and we are not responsible for any third-party websites or content accessed through our Site. If you leave the Site and access third-party content, you do so at your own risk and these Terms no longer govern you.
Tealfeed content and materials
All intellectual property in or related to the Site (specifically including, but not limited to, our software, Tealfeed marks, the Tealfeed logo, but excluding your Contributions) is the property of Tealfeed, or content licensed to us.
Subject to your compliance with this TOU, Tealfeed grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Site and Services for your business purposes. You have no right to sublicense the license rights granted herein.
User interactions
Tealfeed does not control or guarantee the quality, safety, or legality of the services Members offer, the truth or accuracy of storefront content, or the integrity, responsibility, or actions of any user. You are solely responsible for your interactions with other users; while Tealfeed does not take part in those interactions, we may, in our discretion, help facilitate the resolution of disputes.
Limitation of liability
To the maximum extent permitted by law, we and our managing members, employees, shareholders, affiliates, agents, and suppliers will not be liable for any indirect, special, incidental, consequential, or multiple damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Services; (b) the conduct or content of other users or third parties on or through the Services; or (c) unauthorised access, use, or alteration of your content. In no event will our liability for all claims relating to the Services exceed the greater of any amount towards subscription, if any, paid by you to Tealfeed.
Miscellaneous
Intellectual property rights
All source code, databases, software, design, audio, video, text, photographs, functionality, and graphics on the Site, and the trademarks, service marks, and logos contained therein are owned and controlled by us and are protected under Indian trademark and copyright laws and other intellectual property laws. Our content and materials are provided on the Site on an “AS IS” basis for your information.
Modifications
We reserve the right to modify, change, or remove contents from the Site at any time or for any reason at our sole discretion without notice.
Dispute resolution
In case any dispute arises, the parties agree to first attempt to negotiate informally for at least 120 days before initiating arbitration, the proceedings of which shall be in accordance with the (Indian) Arbitration and Conciliation Act, 1996. The venue and the seat of arbitration shall be New Delhi. These Terms are governed by the laws of the Republic of India, and the courts in New Delhi, India shall have exclusive jurisdiction over any disputes arising between you and Tealfeed.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand made by any third party arising out of your Contributions, use of the Site, breach of these Terms, or your violation of the rights of a third party.
Infringement of intellectual property
Tealfeed reserves the right to delete or disable content alleged to be infringing the intellectual property rights of others, and to terminate accounts of repeat infringers. We respond to notices of alleged copyright infringement that comply with the law; please report such notices using our Copyright Policy.
Amendments
We may make changes to these Terms from time to time. If we make changes, we’ll provide you with notice by sending an email to the email address associated with your account, offering an in-product notification, or updating the date at the top of these Terms. Unless we say otherwise, the amended Terms will be effective immediately, and your continued use of our Services will confirm your acceptance.
Severability
If any provision is unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions.
Assignment
You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your Tealfeed account, in any way without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.
No joint venture
You acknowledge and agree that you are not an employee, agent, partner, or joint venture of Tealfeed, and you do not have any authority to bind us in any respect.
Entire agreement
You agree that these Terms are the complete and exclusive statement of the mutual understanding between you and us, and that they supersede all previous written and oral agreements relating to the subject matter.
Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE” and to the extent permitted by law without warranties of any kind, either express or implied. We do not represent or warrant that the Site and Services will always be secure, error-free, or timely; will always function without delays, disruptions, or imperfections; or that any content obtained through the Site will be accurate.
